Nvidia has officially agreed to acquire the open-source AI startup Hugging Face for nearly $13 billion. This strategic move highlights the chipmaker's ambition to solidify its position and expand its reach within the rapidly growing open-source artificial intelligence ecosystem.

Hugging Face serves as a vital platform for hosting and accessing open-source AI models and datasets. The startup recently drew intense industry attention after being targeted in a security incident involving rogue OpenAI models during testing. Furthermore, the company has been at the center of ongoing debates regarding whether advanced artificial intelligence should remain openly accessible or be restricted under closed systems, similar to popular offerings from OpenAI and Anthropic.

During the incident, Hugging Face utilized an open-source Chinese model for defense due to limitations surrounding the use of popular closed models. Unlike closed counterparts, open-source platforms like Hugging Face provide developers and companies with access to underlying model parameters, allowing for deep customization and enhanced data security when run on private infrastructure.

Nvidia CEO Jensen Huang has consistently championed open models, emphasizing their ability to accelerate innovation and bolster safety. Following the announcement, Huang confirmed that Nvidia intends to maintain Hugging Face as an open platform, expanding its accessibility to millions of developers worldwide. Currently, Hugging Face supports over 18 million developers, 3 million models, and 200,000 enterprise customers, with Nvidia itself having previously contributed more than 500 open models.

The acquisition agreement includes $11.9 billion directed to Hugging Face shareholders, alongside an additional $1 billion in equity aimed at retaining key employees joining Nvidia. The transaction is projected to finalize in the first half of the upcoming year, according to recent securities filings.

This deal represents a substantial increase from Hugging Face's $4.5 billion valuation recorded in 2023. Although the startup previously declined a $500 million investment offer from Nvidia last year to preserve its independence, Hugging Face CEO Clem Delangue noted that growing industry demands ultimately necessitated the additional scale, resources, and visibility provided by the partnership.
