A United States federal judge has officially cleared the path for media giant Paramount to finalize its massive $110bn acquisition of entertainment company Warner Bros., overcoming previous legal hurdles regarding industry consolidation.

US District Court Judge Araceli Martinez-Olguin approved a settlement on Wednesday between Paramount, Warner Bros., and a coalition of 12 states led by California that had initially filed a lawsuit to halt the merger. Judge Martinez-Olguin praised the agreement as a fair and reasonable approach to mitigating competitive concerns surrounding the historic deal.

The opposing states had argued that uniting Paramount and Warner Bros. would severely damage market competition, estimating that nearly one-third of all basic cable programming and theatrical releases would fall under the merged entity. However, the legal challenge was dropped on September 21 in favor of a settlement.

Under the terms of the five-year agreement, Paramount is required to maintain theatrical release quotas of 30 films annually in the US. Additionally, the company must conduct separate negotiations with cable providers for Warner-owned and Paramount-owned channels. The approved settlement also establishes a five-member panel designed to protect the editorial independence of prominent news networks CNN and CBS.

Despite these safeguards, critics and skeptics remain concerned that the merger concentrates extensive control over American media under Paramount leader David Ellison. Ellison, son of billionaire Oracle founder Larry Ellison, will oversee board appointments for news independence. David Ellison, founder of Skydance, previously acquired Paramount in 2025, a move that brought CBS under his control and preceded controversial leadership and programming changes.

The settlement faced sharp criticism from lawmakers such as Senator Elizabeth Warren of Massachusetts, who condemned the outcome as a capitulation to corporate interests. Conversely, officials like California Governor Gavin Newsom had previously urged state authorities to pursue a settlement rather than block the merger.

Paramount secured victory over streaming giant Netflix in a competitive bidding war in February to acquire Warner Bros. assets, which include Warner Bros Pictures, CNN, and HBO Max. The Trump administration previously approved the transaction without modifications in June.
